1) Who we are

These Terms of Use (“Terms”) govern access to and use of Samurai BJJ (the “Service”), operated by Samurai Jiu-Jitsu Ltda, CNPJ 57.590.954/0001-19, headquartered at Av. Mario Theophilo Guerra, São Pedro da Aldeia - RJ, Brazil (“Company”, “we”, “us”, “our”). By creating an account, accessing, or using the Service, you agree to these Terms.

If you use the Service on behalf of a business, academy, or other entity (“Organization”), you represent that you have authority to bind that Organization to these Terms and “you” includes that Organization.

2) The Service

Samurai BJJ is a software-as-a-service platform that helps martial arts academies and practitioners manage attendance, streaks, points, leaderboards, challenges, and related content. We may update features regularly, including beta/experimental features.

3) Eligibility

You must be at least 13 years old, or the applicable age of digital consent in your jurisdiction. For users under 18, a parent/guardian (or academy acting with proper authorization) must consent.

4) Accounts & Security

  • You must provide accurate, current information and keep it updated.
  • Keep credentials confidential; you are responsible for all activity under your account.
  • Notify us at [email protected] of any suspected breach.
  • We may refuse, suspend, or terminate accounts that violate these Terms.

5) Subscriptions, Trials, and Billing

  • Access to paid features requires a subscription. Plan details, pricing, and limits are described at checkout or your admin console.
  • Free trials may be offered and can be withdrawn or modified at any time.
  • Unless otherwise specified, subscriptions renew automatically at the end of each billing cycle until canceled.
  • You authorize us and our payment processor(s) to charge your payment method for all fees and applicable taxes.
  • Refunds: Except where required by law or explicitly stated, fees are non-refundable.

6) Acceptable Use

You agree not to:

  • Violate laws, third-party rights, or academy rules.
  • Upload unlawful, infringing, defamatory, harassing, hateful, or invasive content.
  • Attempt to access non-public areas, circumvent security, probe or scan systems, or overload our infrastructure.
  • Reverse engineer, decompile, or create derivative works of the Service except as permitted by law.
  • Use automated means (bots/scrapers) without written permission.
  • Interfere with other users’ enjoyment or with the operation of the Service.

We may remove or disable content and/or suspend access for suspected violations.

7) User Content & Academy Data

You may upload or generate content such as names, avatars, attendance records, progress, comments, challenges, and media (“User Content”).

Between you (or your Organization) and us, you retain ownership of your User Content.

You grant us a worldwide, non-exclusive, royalty-free license to host, process, display, and otherwise use User Content solely to operate, maintain, and improve the Service, comply with law, and provide support.

You represent you have all rights and permissions needed (including parental consents where applicable) to submit User Content.

8) Intellectual Property

The Service, including software, design, logos, and trademarks, is owned by us or our licensors and protected by law. No rights are granted except as expressly stated in these Terms. Feedback you provide may be used by us without restriction or compensation.

9) Third-Party Services

The Service may integrate with third-party tools (e.g., payment, analytics, messaging). Your use of those is governed by their terms and privacy policies. We are not responsible for third-party services.

10) Privacy

Your privacy is important to us. Our Privacy Policy (incorporated by reference) explains how we collect, use, share, and protect personal data and how to exercise rights under the LGPD and other laws.

11) Service Availability; Changes; Beta

We strive for high availability but do not guarantee uninterrupted Service. We may modify or discontinue features at any time with or without notice. Beta features are provided “as is,” may be unstable, and may be withdrawn.

12) Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY (INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT). YOU ARE RESPONSIBLE FOR YOUR TRAINING PRACTICES AND SAFETY; THE SERVICE DOES NOT PROVIDE MEDICAL OR PROFESSIONAL ADVICE.

13) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, OFFICERS, EMPLOYEES, OR PARTNERS ARE LIABLE FOR: (A) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; (B) LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL; OR (C) AGGREGATE LIABILITY EXCEEDING THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14) Indemnification

You agree to indemnify and hold us harmless from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your User Content, or your violation of these Terms or applicable law.

15) Suspension & Termination

We may suspend or terminate access for any breach or risk to the Service. You may cancel at any time in your account settings; cancellations take effect at the end of the current billing period unless stated otherwise. Upon termination, your right to access the Service ceases, but certain sections (e.g., IP, disclaimers, limitations, indemnities) survive.

16) Governing Law & Dispute Resolution

These Terms are governed by the laws of Brazil, without regard to conflict-of-laws rules.

Forum: Courts of São Paulo/SP, Brazil, have exclusive jurisdiction, unless mandatory consumer law provides otherwise.

If you are outside Brazil and mandatory local law grants you additional protections or a different forum, those rights remain.

(Optional—replace if you prefer arbitration): The parties will first attempt in good faith to resolve disputes via negotiation; if unresolved in 30 days, either party may file in the designated forum.

17) Changes to Terms

We may update these Terms. If changes are material, we will provide notice (e.g., in-app or email). The updated Terms take effect on the stated date. Continued use after the effective date constitutes acceptance.
